Terms of Service

1. Who we are

PrimeStack Studio is a brand operated by Karol Pieczonka, trading as websystem Bachowice, Poland (email: [email protected]). References to "we," "us," or "PrimeStack Studio" mean this entity. "You" or "Client" means the business or individual subscribing to the service.

By authorizing payment, you confirm you have read and agreed to these Terms.

2. You see your website before paying a cent

We build your website first and show it to you as a free demo. You review it, request any changes, and only approve payment once you are happy with the result. No payment is taken until you explicitly authorize it. By authorizing payment, you confirm you have reviewed and approved the demo website and agree to begin the subscription.

3. What is included every month

Your monthly subscription covers everything needed to keep a professional website running and up to date:

• Your professionally designed and built website
• Managed hosting and SSL certificate
• Security monitoring and technical maintenance
• One content update session per month: text changes, image swaps, contact details, business hours, or other small adjustments, handled by email at no extra charge
• Access to your dedicated developer for questions and support

There is no setup fee and no hidden costs for the above.

4. Your domain is always yours

You register and pay for your own domain name. We never purchase, control, or take ownership of your domain at any point. Your domain stays with you regardless of the subscription status, and you are free to point it wherever you choose at any time.

5. Hosting

Hosting is fully managed by PrimeStack Studio and included in your monthly fee. You do not need to purchase or manage any hosting separately. We aim for high availability but cannot guarantee 100% uptime. Scheduled maintenance or circumstances beyond our control may occasionally cause brief unavailability.

6. Larger development work

Work that goes beyond the included monthly update, such as adding new pages or sections, significant redesigns, custom features, or third-party integrations, may be quoted and billed separately. We will always provide a written estimate and wait for your written approval before starting any additional billable work. You are never charged for anything you have not explicitly agreed to in advance.

7. Billing and payment

The subscription fee is billed automatically each month via Stripe, starting from the date you authorize payment. All fees are in US dollars (USD) and billed in advance. Please keep your payment details up to date in order to avoid interruption.

If a payment fails, we will notify you and allow a 7-day grace period to resolve the issue before any action is taken. We will not suspend your service without giving you a fair chance to fix a billing problem first.

8. Cancellation

You can cancel at any time, with no long-term commitment and no cancellation fee. Just send us an email to [email protected]. Cancellation takes effect at the end of your current billing period. We do not issue partial refunds for unused days within a billing period that has already been charged.

If payment is not received within 7 days of a failed charge, the subscription is treated as cancelled from that date.

9. What happens when a subscription ends

When a subscription is cancelled or lapses, the managed hosting for your website will be shut down and the website will go offline. Your domain is not affected and remains under your control. We recommend updating your domain's DNS settings to point elsewhere if you plan to continue with a different provider.

10. Website ownership and buyout

During an active subscription, PrimeStack Studio retains ownership of the website design, code, and associated assets. You hold a license to use the website as your business website for as long as the subscription is active.

Buyout option: After 12 consecutive months of an active paid subscription, you may request to purchase full ownership of the website outright. The purchase price is agreed individually in writing between both parties at that time. There is no obligation on either side to complete a buyout. If the subscription ends before 12 months, no buyout right accrues.

11. Your responsibilities

You are responsible for providing accurate business information needed to build and maintain your website (text, images, logo, contact details, etc.) and for ensuring that any content you provide does not infringe any third-party rights. PrimeStack Studio is not responsible for legal issues arising from content supplied by you.

12. Limitation of liability

PrimeStack Studio's total liability for any claim arising from this service shall not exceed the total fees paid in the three months before the claim. We are not liable for indirect or consequential damages, including lost revenue or business opportunities.

13. Changes to these Terms

If we make material changes to these Terms, we will notify you by email at least 14 days before they take effect. Continuing to use the service after that date means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of Poland. Any disputes shall be subject to the jurisdiction of the competent courts of Poland.
